Company Secretarial Officer
One of Malta's leading professional organisations is looking for an experienced Company Secretarial Officer to join their team.
In this role, you will provide support to clients while working closely with the Co-Sec Manager and assisting in delivering high-quality services while ensuring compliance with Maltese company law, MFSA regulations, and CSP standards.
This is an office-based role with flexible working hours, offering a salary of up to €35K.
Role & Responsibilities
Assist the Co-Sec Manager and provide support with the coordination and delivery of services across the team
Be the main point of contact for clients and support them with routine company secretarial requirements and governance advice
Manage onboarding of new clients and assist with the collection of KYC/AML
Build and maintain client relationships and ensure that the service delivery is aligned with the regulatory expectations
Liaise with clients, regulators, auditors, stakeholders while maintaining clear communication and alignments with governance regulations
Manage statutory registers, including registers of members, directors, secretaries, beneficial owners and debentures, and ensure that records related to client entities are kept up-to-date
Draft and prepare governance documents including agendas, minutes, resolutions and board packs
Prepare notices, manage proxies, and confirm quorum for Board and Shareholder meetings, ensuring compliance with the Companies Act and Articles of Association
Provide assistance with incorporation, restructuring, striking off and liquidation of client companies
Certify corporate documents and resolutions as required
Assist with the preparation and submission of statutory filings with the MBR while respecting deadlines
Help identify and manage risks related to company secretarial and governance matters
Keep abreast with changes in Maltese company law, MFSA guidelines and CSP regulatory updates
Education, Skills & Experience
A' Level standard of education or higher
2+ years of experience in a company secretarial or similar administrative role
Knowledge of Maltese company law, MBR filings, and MFSA requirements is a plus
Fluency in English (C2/native level), both written and spoken
Proficiency in Maltese is a plus
Strong organisational skills with excellent attention to detail
Proficient in Microsoft Office Suite (Word, Excel, Outlook)
Ability to work independently and manage multiple deadlines
Strong interpersonal and communication skills
